Terms of Service

1. Legal Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Foresight Collective ("Company", "we", "us" or "our") governing your access to and use of the SafeBets platform, including any websites, applications, APIs, software, content, and related services (collectively, the "Platform").

By accessing, browsing, or using the Platform in any manner, you:

• Acknowledge that you have read, understood, and agree to be bound by these Terms and any policies incorporated herein by reference
• Represent and warrant that you are at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) and possess the full legal capacity and authority to enter into this agreement
• Agree that your use of the Platform constitutes valid and binding acceptance of these Terms, equivalent to a signed written agreement

If you do not agree to these Terms, you must immediately discontinue all access to and use of the Platform.

2. Critical Regulatory Disclosures

2.1 Non-Gambling Declaration

SafeBets is not, and shall not be construed as:

• A gambling platform
• A sportsbook
• A betting exchange
• A wagering, staking, or prize-based competition service

The Platform does not:

• Accept, facilitate, or process wagers, bets, stakes, or anything of monetary or real-world value
• Require any form of consideration, payment, or entry fee contingent upon the outcome of any event, prediction, or activity
• Provide prizes, payouts, or rewards of monetary value based on performance or outcomes

All activities conducted on the Platform occur within a closed, simulated, and non-monetary environment, and are intended solely for entertainment, educational, and analytical purposes.

2.2 No Financial Product / No Investment Advice

The Platform is not a financial service and does not, directly or indirectly:

• Offer, issue, promote, or facilitate any securities, derivatives, commodities, or other financial instruments
• Provide investment, financial, trading, tax, or legal advice of any kind
• Operate as, or hold itself out as, a broker, dealer, investment adviser, exchange, commodity trading advisor, or any other regulated financial intermediary

Nothing on the Platform, including any data, content, outputs, or functionality, constitutes or shall be construed as:

• An offer, solicitation, or invitation to buy or sell any security, commodity, or financial instrument
• Investment advice, a recommendation, or endorsement of any transaction, strategy, or position
• A basis for making financial decisions or entering into any financial transaction

2.3 Simulation-Only Environment

All outputs, predictions, scores, rankings, and related functionalities made available through the Platform (collectively, "Outputs"):

• Exist exclusively within a closed, simulated, and non-monetary environment
• Have no real-world financial, economic, or transactional effect or consequence
• Are provided solely for entertainment, educational, and analytical purposes

2.4 Token / Digital Unit Disclaimer

Any tokens, credits, points, or other digital units made available on or through the Platform (collectively, "Digital Units"):

• Have no monetary value and are not legal tender or currency
• Are non-transferable, non-exchangeable, and may not be sold, assigned, or conveyed to any third party
• Are not redeemable for cash, cryptocurrency, or any real-world goods, services, or benefits
• Do not confer any ownership interest, equity, profit participation, governance rights, or other legal or beneficial rights in SafeBets or any third party
• Are not intended to constitute, and shall not be deemed, securities, investment contracts, commodities, or any other regulated financial instruments under the U.S. Securities Act of 1933, the Securities Exchange Act of 1934, the Commodity Exchange Act, or any applicable laws

2.5 No Expectation of Profit; No Investment Intent

You acknowledge and agree that:

• Digital Units are provided solely for non-monetary, in-platform use within a closed, simulated environment
• You have no expectation of profit, return, appreciation in value, or any economic benefit from acquiring, holding, or using Digital Units
• Digital Units are not offered, marketed, or made available as an investment opportunity, and no representations are made regarding their present or future value
• Your use of Digital Units is not based on, and does not involve, reliance on the efforts of SafeBets or any third party to generate profit or economic return

3. Eligibility; Restricted Jurisdictions; Compliance Controls

3.1 Eligibility Requirements

You may access or use the Platform only if you:

• Are at least eighteen (18) years of age (or the age of legal majority in your jurisdiction)
• Have the legal capacity and authority to enter into a binding agreement
• Are not otherwise prohibited from using the Platform under applicable laws

3.2 Restricted Jurisdictions and Sanctions Compliance

You may not access or use the Platform if:

• You are located in, ordinarily resident in, or accessing the Platform from any jurisdiction where such use would violate applicable laws or regulations
• You are subject to sanctions or listed on any restricted or denied party list, including but not limited to those maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce, the United Nations, the European Union, or other applicable authorities
• You are acting on behalf of, or for the benefit of, any person or entity that is subject to such restrictions

3.3 User Representations and Ongoing Compliance

By using the Platform, you represent, warrant, and covenant that:

• You are in full compliance with all applicable laws, sanctions regimes, and regulatory requirements
• You will not use the Platform in any manner that violates export controls, sanctions laws, or other legal restrictions
• You will immediately cease use of the Platform if your eligibility status changes

3.4 Company Rights; Access Restrictions

SafeBets reserves the absolute right, at its sole discretion and without liability, to:

• Deny, suspend, restrict, or terminate access to the Platform for any user, jurisdiction, IP address, or category of users
• Implement geo-blocking, IP filtering, identity verification (including KYC), and other compliance controls
• Take any action necessary to comply with applicable laws, regulations, or requests from regulators or law enforcement

4. Account Registration; Security; Verification

4.1 User Obligations

In connection with your access to and use of the Platform, you agree to:

• Provide accurate, current, and complete information at all times and promptly update such information as necessary
• Maintain the confidentiality and security of your account credentials, including usernames, passwords, and authentication methods
• Accept full responsibility and liability for all activities conducted under your account, whether or not authorized by you

You agree to immediately notify SafeBets of any unauthorized access, security breach, or suspected misuse of your account.

4.2 Account Integrity and Prohibited Conduct

You shall not:

• Create multiple accounts for the purpose of circumventing restrictions or controls
• Provide false, misleading, or fraudulent information
• Allow any third party to access or use your account

SafeBets reserves the right to investigate and take appropriate action in response to any suspected violation.

4.3 Verification and Compliance Checks

SafeBets may, at its sole discretion and at any time:

• Require identity verification, including KYC (Know Your Customer) procedures, enhanced due diligence, or documentation requests
• Suspend or restrict account functionality pending completion of verification
• Refuse or terminate access where verification requirements are not satisfied

4.4 Monitoring and Enforcement

SafeBets reserves the absolute right, without notice and without liability, to:

• Monitor account activity for fraud, abuse, security risks, or regulatory compliance purposes
• Investigate any activity deemed suspicious, unlawful, or in violation of these Terms
• Suspend, restrict, or terminate any account at any time, for any reason or no reason, including to comply with legal or regulatory obligations

5. Acceptable Use; Prohibited Conduct; Enforcement

5.1 Prohibited Conduct

You agree that you shall not, directly or indirectly:

• Use the Platform for any unlawful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation
• Attempt to exploit, manipulate, interfere with, or gain unauthorized access to any aspect of the Platform, including systems, networks, data, or accounts
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or models of the Platform
• Use any automated means, including bots, scripts, scrapers, crawlers, or similar technologies, to access, extract, or interact with the Platform without prior written authorization
• Interfere with, disrupt, or degrade the integrity, security, availability, or performance of the Platform or any related infrastructure
• Circumvent, bypass, or attempt to defeat any technical, security, or compliance controls, including rate limits, access restrictions, or geo-blocking measures

5.2 Investigation and Enforcement Rights

SafeBets reserves the absolute right, at its sole discretion and without prior notice, to:

• Monitor use of the Platform for compliance, security, and operational integrity
• Investigate any suspected violation of these Terms or applicable laws
• Cooperate with law enforcement, regulators, or third parties in connection with any investigation

5.3 Remedies and Consequences

In the event of any actual or suspected violation, SafeBets may, without limitation:

• Immediately suspend, restrict, or terminate your access to the Platform
• Remove or disable access to any associated data, content, or account functionality
• Pursue civil, criminal, or injunctive remedies to the fullest extent permitted by law
• Report such conduct to law enforcement authorities or regulatory bodies

5.4 AI, Data, and Outputs Disclaimer

SafeBets utilizes algorithmic and AI-driven systems.

You acknowledge that:

• Outputs are probabilistic, non-deterministic, and subject to error
• Results may be incomplete, inaccurate, or outdated
• No guarantee of accuracy, reliability, or performance is provided

You agree not to rely on outputs for:

• Financial decisions
• Gambling activities
• Legal or professional advice

6. Intellectual Property Rights; Limited License

6.1 Ownership of Platform Materials

All right, title, and interest in and to the Platform and all materials made available through it, including but not limited to:

• Algorithms, models, and underlying methodologies
• Data structures, databases, and datasets
• Software, code, and system architecture
• User interfaces, design elements, and user experience (UI/UX)
• Trademarks, logos, branding, and trade dress
• All content, text, graphics, and documentation

(collectively, the "Platform Materials") are and shall remain the exclusive property of SafeBets or its licensors, and are protected by applicable intellectual property, copyright, trademark, trade secret, and other proprietary rights laws.

6.2 Limited License Grant

Subject to your compliance with these Terms, SafeBets grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely for your personal, non-commercial use.

No rights are granted except as expressly set forth herein.

6.3 Restrictions

You shall not, and shall not permit any third party to:

• Copy, reproduce, modify, distribute, display, perform, or create derivative works from any Platform Materials
• Use the Platform or Platform Materials for any commercial purpose, including competitive analysis, benchmarking, or product development
• Access or use the Platform for the purpose of building, training, or improving any competing product, service, or model
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Misappropriate, disclose, or otherwise exploit any confidential or proprietary information of SafeBets

7. User Content; License Grant; Representations

7.1 License Grant

By submitting, posting, uploading, or otherwise making available any content, data, information, or materials through the Platform ("User Content"), you hereby grant to SafeBets a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to:

• Use, host, store, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content
• Incorporate User Content into the Platform and related services
• Use User Content for operational, analytical, research, development, and improvement purposes, including training and enhancing algorithms and models

This license shall survive termination of your account or these Terms.

7.2 Ownership

You retain ownership of your User Content, subject to the rights granted herein. SafeBets does not claim ownership of User Content except as necessary to operate and improve the Platform.

7.3 Representations and Warranties

You represent, warrant, and covenant that:

• You own or have all necessary rights, licenses, consents, and permissions to submit and use the User Content as contemplated by these Terms
• The User Content does not infringe, misappropriate, or violate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party
• The User Content does not violate any applicable laws, regulations, or contractual obligations

7.4 Responsibility and Risk

You acknowledge and agree that:

• You are solely responsible for your User Content and any consequences arising from its submission or use
• SafeBets has no obligation to review, monitor, or verify User Content, but reserves the right to do so

7.5 Removal and Enforcement

SafeBets reserves the right, at its sole discretion and without notice or liability, to:

• Remove, disable, or restrict access to any User Content
• Take action against any content that is unlawful, infringing, harmful, or otherwise in violation of these Terms

8. Third-Party Services; Integrations; External Content

8.1 Third-Party Services

The Platform may include, integrate with, or provide access to third-party services, applications, websites, data sources, or content (collectively, "Third-Party Services").

Such Third-Party Services are provided solely for convenience and informational purposes.

8.2 No Control or Endorsement

SafeBets does not:

• Own, operate, or control any Third-Party Services
• Endorse, approve, or guarantee the accuracy, reliability, legality, or suitability of any Third-Party Services
• Make any representations or warranties regarding the availability, performance, or security of Third-Party Services

8.3 Independent Relationship

Third-Party Services are provided by independent third parties, and your interactions with them are solely between you and such third parties.

Your use of Third-Party Services may be subject to separate terms, conditions, and privacy policies, for which SafeBets has no responsibility.

9. Disclaimer of Warranties

9.1 "As Is" and "As Available" Basis

THE PLATFORM, INCLUDING ALL CONTENT, FUNCTIONALITY, AND OUTPUTS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

9.2 Disclaimer of All Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFEBETS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE
• ANY WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR USEFULNESS OF THE PLATFORM OR ANY OUTPUTS

9.3 No Guarantee of Performance or Availability

SAFEBETS DOES NOT WARRANT OR GUARANTEE THAT:

• THE PLATFORM WILL BE UNINTERRUPTED, CONTINUOUSLY AVAILABLE, OR FREE FROM DELAYS
• THE PLATFORM WILL BE ERROR-FREE, DEFECT-FREE, OR FREE FROM OMISSIONS
• ANY DEFECTS OR ERRORS WILL BE CORRECTED
• THE PLATFORM OR ANY SERVERS ARE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS
• THE PLATFORM WILL BE SECURE OR IMMUNE FROM UNAUTHORIZED ACCESS, DATA LOSS, OR CYBERATTACKS

10. Service Availability; Data Loss; System Failure

10.1 No Guarantee of Availability or Continuity

You acknowledge and agree that the Platform may be subject to:

• Interruptions, delays, or outages
• System failures, malfunctions, or degradation in performance
• Scheduled or unscheduled maintenance

SafeBets does not guarantee that the Platform will be available at all times or operate without interruption.

10.2 Data Loss and Corruption

To the maximum extent permitted by law, SafeBets shall have no liability or responsibility for:

• Any loss, corruption, or deletion of data, User Content, or account information
• Any failure to store, transmit, or process data accurately or completely
• Any unauthorized access to or alteration of data

You are solely responsible for maintaining independent backups of any data you deem important.

10.3 System Errors and Inaccuracies

The Platform may contain:

• Bugs, errors, or defects
• Inaccuracies or inconsistencies in data, outputs, or functionality

SafeBets shall have no obligation to correct any such errors and shall not be liable for any impact resulting from them.

10.4 No Liability for Disruptions

SafeBets shall not be liable for any loss, damage, or inconvenience arising from:

• Platform downtime or unavailability
• Technical failures or infrastructure issues
• External factors beyond its control, including third-party service failures

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SAFEBETS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• RELIANCE ON PLATFORM OUTPUTS

TOTAL LIABILITY SHALL NOT EXCEED:

• THE GREATER OF (A) $100 USD OR (B) AMOUNTS PAID BY YOU (IF ANY)

12. Indemnification

12.1 User Indemnity Obligation

You agree to defend, indemnify, and hold harmless SafeBets, its affiliates, and their respective officers, directors, employees, contractors, licensors, and agents (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

• Your access to, use of, or misuse of the Platform
• Your violation of these Terms or any policies incorporated herein
• Your breach of any applicable law, regulation, or third-party rights
• Any User Content submitted, posted, or transmitted by you
• Any fraud, negligence, willful misconduct, or unauthorized activity attributable to you or your account

12.2 Defense and Cooperation

SafeBets reserves the right, at its sole discretion, to:

• Assume the exclusive defense and control of any matter subject to indemnification (at your expense)
• Require you to cooperate fully in the defense of such claims

You agree not to settle any claim without the prior written consent of SafeBets if such settlement would impose any liability or obligation on any Indemnified Party.

13. Suspension and Termination

13.1 Company Rights

SafeBets reserves the absolute right, at its sole discretion and without prior notice or liability, to:

• Suspend, restrict, or terminate your access to the Platform, in whole or in part, at any time
• Take such action for any reason or no reason, including, without limitation, for legal, regulatory, security, operational, or risk management purposes
• Refuse current or future access to the Platform or any portion thereof

13.2 Effect of Termination

Upon suspension or termination:

• All rights, licenses, and permissions granted to you under these Terms shall immediately cease
• You must immediately discontinue all use of the Platform

SafeBets may, without obligation or liability, delete, disable, or restrict access to your account, data, User Content, or any associated materials

14. Governing Law

These Terms shall be governed by:

• The laws of the State of Delaware, United States

15. Dispute Resolution – Binding Arbitration

15.1 Mandatory Arbitration

Any dispute shall be resolved by binding arbitration administered by:

• American Arbitration Association (AAA)

Under its Commercial Arbitration Rules.

15.2 Class Action Waiver

YOU AGREE THAT:

• ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY
• YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS

15.3 Waiver of Jury Trial

YOU WAIVE ANY RIGHT TO:

• A JURY TRIAL
• COURT PROCEEDINGS

15.4 Right to Opt Out of Arbitration

You have the right to opt out of the binding arbitration provisions set forth in this Section by providing written notice to SafeBets within thirty (30) days of the date you first accept these Terms.

To be effective, your opt-out notice must:

• Be submitted in writing to: [email protected]
• Include your full legal name
• Include the email address associated with your SafeBets account
• Include a clear and unequivocal statement that you wish to opt out of arbitration

If you validly opt out of arbitration:

• The arbitration provisions set forth in this Section shall not apply to you
• Any disputes shall instead be resolved in the state or federal courts located in the State of Delaware, United States, and you consent to the jurisdiction of such courts

15.5 Exceptions

We may seek:

• Injunctive relief
• IP protection enforcement

In courts of competent jurisdiction.

16. Compliance & Regulatory Safeguards

We reserve the right to:

• Monitor usage for compliance
• Report suspicious activity
• Cooperate with regulators and law enforcement

You agree to comply with:

• US federal and state laws
• International regulations where applicable

17. Privacy

Your use is subject to our Privacy Policy, including compliance with:

• US privacy laws (CCPA/CPRA where applicable)
• GDPR (if applicable)

18. Force Majeure

We are not liable for failures due to:

• Acts of God
• Cyberattacks
• Infrastructure failures
• Regulatory actions

19. Modifications

We may update these Terms at any time.

Continued use constitutes acceptance.

20. Entire Agreement

These Terms constitute the entire agreement and supersede all prior agreements.
