Terms of Service

1. Acceptance of these Terms

These Terms of Service (the "Terms") form a legally binding agreement between you ("you," "your," or "User") and Foresight Collective, a company organized under the laws of the State of Delaware, United States, doing business as "SafeBets" ("SafeBets," "we," "us," or "our"). They govern your access to and use of the SafeBets websites (including safebets.world and app.safebets.world), applications, and related services (together, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Risk Disclosure, each of which is incorporated by reference. If you do not agree to these Terms, do not access or use the Platform.

These Terms contain a binding arbitration agreement and a waiver of class-action rights in Section 20. Please read that section carefully, as it affects how disputes between you and SafeBets are resolved.

2. Definitions

• "Platform" means the SafeBets website, application, tools, features, content, and services we make available.
• "Prediction" means a forecast you submit on the Platform about the future outcome of an event or the future price or movement of an asset (for example, cryptocurrencies, commodities, equities, or sports outcomes).
• "unicoins" means the digital reward units awarded to Users on the Platform and referred to as "unicoins" in the SafeBets interface. unicoins are described in Section 7.
• "Unicoin" (the asset) means the third-party digital asset issued and administered by its own issuer through unicoin.com and related services, which is separate from SafeBets. See Section 16.
• "Rewards" means unicoins, discretionary cash or cryptocurrency awards, bonuses, jackpots, and other benefits you may earn or be granted on the Platform.
• "Rank" means an accuracy-based status (such as Predictor, Expert, Guru, or Oracle) reflecting the historical accuracy of your Predictions.
• "Institutional Client" means a business, fund, or organization that licenses or purchases aggregated, de-identified prediction data or intelligence products from SafeBets.
• "Account" means your registered User account on the Platform.

3. Nature of the Platform

SafeBets is a prediction and collective-intelligence platform. Users forecast the outcomes of events and the movements of financial and sporting markets. The Platform aggregates these forecasts to generate crowd-sourced probability signals and to reward Users whose forecasts prove accurate.

3.1 No stake, no possible loss

Participation on the Platform does not require you to deposit money, wager, or place any of your own funds or assets at risk. You are not required to pay consideration in order to submit a Prediction, and you cannot lose money, unicoins you already hold, or any other asset as a result of a Prediction being inaccurate. The most you can experience from an inaccurate Prediction is that you do not earn a Reward for that Prediction.

3.2 Not gambling, not a sportsbook, not a financial service

SafeBets is not, and shall not be construed as: a gambling service, casino, sportsbook, bookmaker, betting exchange, lottery, or games-of-chance operator; a broker-dealer, exchange, money-services business, or investment adviser; or an issuer of securities. Because Users risk no consideration and cannot suffer a loss, we design and operate the Platform as a skill-based prediction and market-research service rather than a wagering service. The word "bets" in our name refers to predictions made without financial risk ("safe bets") and does not indicate the offering of any gambling or wagering product.

3.3 Rewards reflect accuracy, and the Platform is provided as-is

Rewards are earned as recognition of forecasting accuracy and engagement, on the terms described in these Terms and as further described in the Platform interface, promotional rules, and program terms we may publish from time to time. We do not promise that any particular level of activity will produce any particular Reward, and the value of Rewards is determined by factors outside our control as described in Section 7.

4. Eligibility & jurisdiction

To use the Platform you must:

1. be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into these Terms;
2. not be a resident of, or located in, any jurisdiction where use of the Platform, receipt of Rewards, or holding or converting unicoins is prohibited or restricted by applicable law;
3. not be a person barred from receiving services under the sanctions, export-control, or trade laws of the United States or any other applicable jurisdiction (see Section 17); and
4. provide accurate registration information and comply with these Terms.

The Platform is offered only where permitted by law. Availability in a given country or region does not guarantee that the Platform is lawful for you, and you are solely responsible for determining whether your use, and any conversion of unicoins to cash, is permitted where you are located. We may restrict or refuse access to any person or jurisdiction at our discretion.

5. Accounts & security

You must register an Account to participate. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. Notify us promptly at the address in Section 25 if you suspect unauthorized use.

Each User may maintain only one Account unless we expressly permit otherwise in writing. Creating or operating multiple or duplicate Accounts, or Accounts using false, borrowed, or synthetic identities, is prohibited and may result in forfeiture of Rewards and termination (see Sections 13 and 21). We may require identity verification at any time as a condition of continued use, of earning or accumulating Rewards, or of converting or withdrawing unicoins (see Section 17).

6. Making predictions

Predictions are made by selecting an event or asset and submitting your forecast through the Platform before the applicable cutoff. Once submitted and locked, a Prediction is final and cannot be altered or withdrawn. Outcomes are determined by reference to the settlement sources, data feeds, timestamps, and rules described in the relevant market or contest, and by our reasonable determination where a source is unavailable, ambiguous, or manifestly erroneous.

We may add, suspend, reschedule, void, or resettle any market or contest — including where an event is cancelled, postponed, or affected by data errors, manipulation, force majeure, or circumstances that make fair settlement impracticable. Where a market is voided, no Rewards are earned for that market, but you do not lose any unicoins or other assets you already hold.

7. unicoins & rewards

7.1 What unicoins are

The unicoins credited to your Account are digital reward units. Unlike a purely internal "points" system with no value, unicoins are intended to have real, market-determined value and may be convertible into cash or other value as described in Section 9 and subject to the applicable third-party terms referenced in Section 16. unicoins may appreciate or depreciate in value over time.

7.2 How unicoins are earned

You may earn unicoins through, among other things: a one-time sign-up bonus; referring new Users who register and qualify; submitting accurate Predictions; achieving and maintaining higher accuracy Ranks; and participating in contests, jackpots, or promotions we run from time to time. The specific amounts, conditions, eligibility requirements, and expiration or clawback rules for each program are set out in the Platform interface and in the applicable program or promotional terms, which form part of these Terms.

7.3 No guarantee of value or availability

SafeBets does not guarantee, and makes no representation regarding, the current or future monetary value of unicoins, their liquidity, or your ability to convert them into cash at any particular time, rate, or at all. The value of unicoins is influenced by market forces, third-party issuers and platforms, and regulatory conditions that are outside our control. Rewards have no fixed or guaranteed cash value, are not a deposit, are not insured, and are not a promise of payment by SafeBets.

7.4 Adjustments, forfeiture & clawback

We may withhold, adjust, reverse, cancel, or reclaim unicoins or other Rewards that were awarded in error, obtained through fraud, abuse, manipulation, multiple accounts, bots, collusion, or any violation of these Terms, or that are affected by the voiding or resettlement of a market. Unless required by law, unicoins are non-refundable and are provided at our discretion under the applicable program terms.

7.5 Nature of your interest

Rewards are personal to you. Except through the conversion or transfer mechanisms we expressly make available (see Section 9), you may not sell, assign, pledge, or transfer unicoins credited on the Platform, and any attempt to do so outside those mechanisms is void.

7.6 Discretionary awards in cash and cryptocurrencies

In addition to unicoins, SafeBets may, in its sole discretion, grant awards, prizes, or bonuses in U.S. dollars or other fiat currencies, or in cryptocurrencies such as Bitcoin, Unicoin, or others. Any such award is discretionary and made on a case-by-case basis: it may be one-time or recurring, may be offered to some Users and not others, and does not entitle you to any further, similar, or equal award. Each discretionary award is subject to the eligibility criteria, verification, timing, and other conditions we specify at the time of the award, and to the same compliance, anti-abuse, and tax provisions that apply to other Rewards (see Sections 12, 13, and 17). We may modify, withhold, or reclaim a discretionary award that was granted in error or in connection with fraud, abuse, or any violation of these Terms.

8. Referral & bonus programs

We may offer referral rewards, sign-up bonuses, jackpots, leaderboards, and other promotions. Each such program is governed by its own published rules, which may set caps, qualification criteria, timeframes, and anti-abuse conditions. Referrals must be genuine: you may not refer yourself, create accounts on behalf of others, use fake or incentivized-but-inactive sign-ups, or otherwise game a program. We may modify, suspend, or end any program, and adjust or revoke associated Rewards, at any time, including retroactively in cases of abuse.

9. Converting & withdrawing unicoins

Where and to the extent we make conversion or withdrawal available, you may be able to convert eligible unicoins into cash or another form of value. Conversion and withdrawal are subject to: (a) identity verification and other compliance checks (Section 17); (b) minimum thresholds, holding periods, fees, limits, and processing times we or our partners set; (c) the availability and terms of the applicable third-party services, including the Unicoin ecosystem (Section 16); (d) your jurisdiction permitting such conversion; and (e) these Terms and the applicable program rules.

Conversion rates fluctuate with market conditions and are not guaranteed. We may suspend or delay conversions where necessary to comply with law, investigate suspected fraud or abuse, or address technical or liquidity constraints. You are responsible for providing accurate payout details and for any taxes arising from conversion (Section 12).

10. Aggregated insights & data licensing

A core purpose of the Platform is to generate collective-intelligence signals from many Users' Predictions. By using the Platform, you grant SafeBets a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, host, reproduce, aggregate, anonymize, de-identify, analyze, and create derivative works from your Predictions and related activity, and to distribute, sell, or license the resulting aggregated and de-identified insights, statistics, signals, and intelligence products to Institutional Clients and other third parties.

Aggregated insights are constructed so that they do not identify you personally. We handle personal information as described in our Privacy Policy. Except as expressly provided in a separate written agreement, you are not entitled to any share of institutional licensing revenue beyond the Rewards you earn under these Terms.

11. No financial or investment advice

The Platform, including any Prediction, signal, probability, Rank, leaderboard, or data output, is provided for informational and entertainment purposes only. Nothing on the Platform is investment, financial, legal, tax, or trading advice, a recommendation, or a solicitation to buy, sell, or hold any asset. Predictions are inherently uncertain and may be wrong. We do not act as your adviser or fiduciary. You are solely responsible for any decisions you make, and you should consult qualified professionals before acting on any information derived from the Platform.

12. Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to Rewards you earn, hold, or convert, and for any tax consequences of receiving or disposing of unicoins. We may collect tax information from you and issue tax forms or report to authorities where required by law, and we may withhold amounts or condition payouts on your provision of required tax documentation.

13. Prohibited conduct & fair play

You agree not to:

• create or use multiple, duplicate, or fraudulent Accounts, or use another person's identity;
• use bots, scripts, automation, or unauthorized means to submit Predictions, farm Rewards, or manipulate leaderboards, Ranks, or markets;
• collude with other Users, engage in coordinated or wash activity, or exploit bugs, pricing errors, settlement delays, or loopholes to obtain Rewards you would not otherwise earn;
• manipulate, or attempt to manipulate, the outcome or settlement of any market or the value of unicoins;
• reverse engineer, decompile, disassemble, scrape, or attempt to derive source code from the Platform except to the extent permitted by law;
• access the Platform from a restricted jurisdiction or use VPNs, proxies, or false information to evade eligibility or compliance controls;
• upload malware, interfere with the Platform's operation or security, or gain unauthorized access to any system or account; or
• use the Platform for money laundering, terrorist financing, fraud, or any unlawful purpose.

We may investigate suspected violations and, without liability, suspend Accounts, withhold or reclaim Rewards, void affected markets, and report conduct to authorities.

14. Intellectual property

The Platform and all associated software, content, trademarks, logos, designs, and data (excluding your User content) are owned by SafeBets or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved. "SafeBets" and related marks may not be used without our prior written permission.

15. User content

You retain ownership of content you submit that is not a Prediction (for example, profile information, comments, or posts). You grant SafeBets a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, display, reproduce, and distribute such content in connection with operating and promoting the Platform. You represent that you have the rights to the content you submit and that it does not violate any law or third-party right. We may remove content that violates these Terms. (Predictions are separately licensed under Section 10.)

16. Third-party services & the Unicoin asset

The Platform may reference or integrate third-party services, including the Unicoin digital asset and its ecosystem operated through unicoin.com. SafeBets is a separate company and, unless expressly stated, is not the issuer, administrator, guarantor, or operator of the Unicoin asset, any wallet, exchange, or payment service. Your access to, holding of, or conversion involving the Unicoin asset or any third-party service is subject to that third party's own terms, eligibility rules, and risks, and SafeBets is not responsible for third-party services, their availability, or the value or convertibility of any third-party asset. You should review the applicable third-party terms before relying on them.

17. Compliance, KYC & sanctions

To comply with applicable law and to protect the integrity of the Platform, we may, at any time, require you to verify your identity, age, source of funds, and location ("know-your-customer" or "KYC" checks), and may condition earning, accumulating, converting, or withdrawing Rewards on successful verification. You represent that you are not, and are not acting on behalf of, any person subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or other applicable authorities, and that you are not located in a comprehensively sanctioned jurisdiction. We may screen Accounts, freeze or forfeit Rewards, and cooperate with, and disclose information to, regulators and law-enforcement authorities as required or permitted by law.

18. Disclaimers of warranties

THE PLATFORM AND ALL REWARDS, PREDICTIONS, SIGNALS, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT PREDICTIONS OR SIGNALS WILL BE ACCURATE, OR THAT UNICOINS WILL HAVE OR RETAIN ANY PARTICULAR VALUE OR BE CONVERTIBLE AT ANY TIME. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFEBETS, FORESIGHT COLLECTIVE, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR THE VALUE OF UNICOINS, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS, IF ANY, YOU PAID TO SAFEBETS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. BECAUSE USERS DO NOT STAKE OR RISK FUNDS ON THE PLATFORM, YOU ACKNOWLEDGE THAT ANY FLUCTUATION IN THE VALUE OF, OR INABILITY TO CONVERT, UNICOINS IS NOT A LOSS FOR WHICH SAFEBETS IS LIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

20. Indemnification

You agree to indemnify and hold harmless SafeBets, Foresight Collective, and their affiliates and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your Predictions or content, your violation of these Terms or applicable law, or your infringement of any third-party right.

21. Dispute resolution & arbitration

Please read this section carefully. It affects your legal rights.

21.1 Informal resolution

Before starting arbitration, you agree to first contact us at the address in Section 25 and give us 30 days to resolve the dispute informally.

21.2 Binding arbitration

Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. Judgment on the award may be entered in any court of competent jurisdiction. Either party may bring an individual claim in small-claims court instead, if it qualifies.

21.3 Class-action waiver

You and SafeBets agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

21.4 30-day opt-out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to the address in Section 25 stating your name, Account, and intent to opt out. Opting out will not affect any other part of these Terms.

21.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect intellectual-property rights or Platform security.

22. Suspension & termination

We may suspend, limit, or terminate your Account or access to the Platform, and withhold, cancel, or reclaim Rewards, at any time — including where we reasonably believe you have violated these Terms or applicable law, where required for compliance or security, or where we discontinue the Platform or a feature. You may stop using the Platform and close your Account at any time. Sections that by their nature should survive termination (including Sections 7.3–7.5, 10–12, 14–21, and 23) will survive.

23. Changes to the Terms or Platform

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and provide notice through the Platform or by other reasonable means. Your continued use after changes take effect constitutes acceptance. We may also add, change, suspend, or discontinue any part of the Platform, including markets, programs, Ranks, and Reward mechanics, at any time.

24. General provisions

Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, except where mandatory local law applies. Entire agreement. These Terms, together with the Privacy Policy, Risk Disclosure, and any program rules, are the entire agreement between you and us regarding the Platform. Severability. If any provision is held unenforceable, the remaining provisions remain in effect. No waiver. Our failure to enforce any right is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. Language. The English version of these Terms controls.
